The Client : The company (any type), organisation, school, association or individual requesting the services of CPR Works Ltd.
The Supplier: CPR Works Limted (CPR Works Ltd) website designer/site owner & employees or affiliates.
General
CPR Works Ltd will carry out work only where an agreement (or an agreed proposal) is provided either by email, telephone, or email. Please note: we usually will only carry out work only for clients who are 18 years of age or above and are a trading business or established organisation.
An 'order' is deemed to be a written or verbal contract between CPR Works Ltd and the client, and this includes telephone and email agreements or approved proposals.
Where this is part of your company's/organisation's/association's usual practice, a purchase order (or otherwise a written authority to proceed) will sometimes (though not always) be required before work begins.
Website Design, Domain Name management, Bandwidth and Hosting
While we will do our utmost to ensure that the website and/or any scripts or programs are free of errors, CPR Works cannot accept responsibility for any losses incurred due to the malfunction of the website or any part of it.But please note that the website, either completed or as "work in progress" graphics and any programming code, remain the property of CPR Works Ltd until all outstanding accounts are paid in full.
Domain Mangement
CPR Works Ltd are official resellers for several naming authorities and organisations, such as Nominet, NetNames and Discount Domains. Where CPR Works Ltd has itself purchased the use of your domain name from the naming authorities. The right to use this domain will only become the clients when it is fully paid for. Nominet's Terms and Conditions of Domain Name Registration can be seen here. As a registered Nominet' Channel Partner, their Registrar Agreement can also be viewed here.
All domains are renewed on a minimum of a 12 month term. We will send out reminder emails 30 days, 7 days and 1 day before expiry. We will send the emails to the email address on the account, it is the registrants responsibility to make sure their contact details are up to date. CPR Works Ltd take no responsibility if your domain renewal fails due to your contact details being incorrect. If you do not wish to renew a domain please make sure you contact us a minimum of 14 days before your domain expires by emailing us at [email protected].
If you do not renew your domain before its expiry date it will have all services we provide suspended and you will have up to 30 days (protected period) after to renew the domain name at the original renewal fee. After 30 days your domain will be suspended and will go into a 60 day grace period which you can still renew your domain name but with an additional redemption fee of £15 + VAT. This must be requested by email before the 80th day after your domain has expired, after 90 days your domain will be cancelled and deleted from the register and made available for resale through a third party registrar. CPR Works Ltd will not guarantee the renewal of a domain name.
Most domains under CPR's control are registered by CPR on the clients behalf and they will have been informed of our Terms and Conditions beforehand, either via supplied quotations or being directed to this page. All initial costings, and on going renewal and maintenance costs, renewal notifications etc are clearly indicated in any quotation before items are purchased on behalf of the client. This information is also passed over to the client for any domains transferred over to our control.
If a client no longer wish to carry on with their contract with, please email [email protected] no less than 30 days before your services are due to be renewed. Clients account will only be deemed as terminated once all outstanding balances have been paid in full. Domains will only be considered for transfer once all balances have been settled, CPR Works Ltd will not charge clients for transferring a domain(s) away to another registrar’s tag. The customer acknowledges that, termination of the agreement for any reason will result in CPR Works Ltd ceasing to provide the applicable services, with the consequences that flow from such cessation, including (but not limited to), deletion of data .e.g. hosting account(s) and mail boxes.
Copyright
Unless specifically agreed, any scripts, applications, .php or .asp or html or html5 scripts, or software written by CPR Works Ltd (or its agents) remain the copyright of CPR Works Ltd and may only be commercially reproduced or re-sold with the permission of CPR Works Ltd and may never be reproduced or re-sold under any circumstances unless they are fully paid for.
However, the design and content of a Client's website becomes the Client's own property after payment of all invoices relating to the build and design of the said project have been paid in full.
Website hosting is a separate matter and is charged annually based on a) the amount of webspace used and b) the amount of bandwidth used by the Client's website. Any bandwidth charges (from CPR Works Ltd's own Internet Service Provider) are usually re charged at cost to CPR Works Ltd.
CPR Works Ltd cannot take responsibility for any copyright infringements caused by materials submitted or supplied by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.
Additions to your Website Project
When a website is being designed, programmed/created by CPR Works Ltd, any additions to briefs provided by the Client will be carried out at the discretion of CPR Works Ltd and may be at an additional cost.
CPR Works Ltd can accept no responsibility to ensure such additions are error free and reserve the right to charge for any corrections to these or further additions.
The client agrees to make available as soon as is reasonably possible to CPR Works Ltd all materials required to complete the site to the agreed standard and within the set deadline, unless it has been previously agreed that CPR Works is itself responsible for compiling/researching/creating such materials within the cost of the project.
CPR Works Ltd is not liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines for whatever reason (although we have never missed a website project deadline yet!).
CPR Works Ltd will not be liable or become involved in any disputes between the website owner (the Client) and in turn their clients and cannot be held responsible for any wrongdoing on the part of a website owner (the Client), for example in cases where there are disputes regarding the content/images that have been provided to us for inclusion on the site.
CPR Works Ltd will not be liable for any costs incurred, compensation or loss of earnings due to the work carried out on behalf of the client or any of the Client's appointed agents.
CPR Works Ltd will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site or its webservers.
A non-refundable initial payment of 50% of the cost of the project is usually required (invoiced on a maximum of 30 day terms at or close to the time of project approval) with all of our projects when work by CPR Works Ltd begins a project.
Once a website has been designed and completed the final balance of payment is then due in accordance with our payment terms. There are no exceptions this condition.
Non payment may result in legal action being taken if necessary.
Once full payment is received for a website, it is assumed that the project has been completed to the client's satisfaction, the project will be placed fully online and no refunds can be offered.
We do however offer a reasonable amount of free updates within reason, for up to four weeks after completion of a project, to allow for any final amendments that may be required, subject to the time agreement for the project being met but not exceeded.
Completion may sometimes be considered to be offline, in a test environment, whether or not the client has formally signed off the project, if the project is deemed to fully meet the Client's brief.
Completions is always considered when the project is published online, as a web project on the World Wide Web.
Database, Application and E-Commerce Development
CPR Works Ltd cannot take responsibility for any losses incurred by the use of any software created for the client.
Whilst every care has been taken to ensure products are problem free and accurate, the ultimate responsibility lies with the client in ensuring that all software is functioning correctly before use.
Where applications or sites are developed on servers not recommended or hosted by CPR Works Ltd, the Client is expected to provide or seek any information, additional software, support or co-operation pertaining to the hosting server required in order for the application to be correctly developed.
Where "bugs", errors or other issues are found after the site is live, CPR Works Ltd will attempt (but is not obliged to) to correct these issues to meet the standards of function outlined in the brief or proposal.
Unless otherwise agreed with CPR Works Ltd, either as an ad hoc arrangement or with a specific fee agreement, the Client is wholly responsible for the general updating and maintenance of their own website and databases.
In the event of the Client's project being a WordPress site, with a Content Management System (CMS), on completion of that project, free training will usually be given in the use of the CMS.
Please note that website and database back ups are usually the responsibility of the Client unless previously agreed with CPR Works Ltd.
Compatibility
CPR Works Ltd will try to ensure that any developed/designed site or application will function correctly on the server it is installed on and that it will function correctly when viewed with the web browsing software Microsoft Internet Explorer Version 9 or later and to an acceptable level with modern versions of Firefox Mozilla, Chrome and Safari browsers.
CPR Works Ltd can offer no guarantees of correct function with all browser software and versions, as they are many and varied.
Managed Website Hosting and associated services
CPR Works Ltd operates its own fully managed hosting service and every effort is made to ensure as much uptime as possible, including a "helping hands" service at our server hosting company and via our own IT Support company.
While server uptimes are, over any given year, in the order of 98% availability, no guarantees can be made as to the continued availability or interruption of this service.
All services will automatically renew on the Client's account on the due date, unless a prior cancellation request has been submitted, giving at least one week's notice in writing.
Customers will automatically be charged again for annual website hosting at the end of the prepaid period (usually annually) unless confirmation of the wish to close has already been received from the customer at least seven days before the new website hosting charge is issued.
CPR Works Ltd has to service considerable onward costs to maintain and update its webservers, so once the Client's annual hosting charge is incurred then payment is strictly due within 30 days and no refunds can be offered. If a Client wishes to move hosting to another provider this will be done usually without any additional cost, provided the Client's account with CPR Works is up to date and fully paid up.
Telephone cancellation requests are not accepted as we require the request to be logged.
The Client's account with CPR Works Ltd must be in credit before transfers of any services can be made to a third party. If a website hosting or other service has already been renewed, and no specific cancellation has been received, no refund is due for any of these services (either in part or in full). The full annual amount for website hosting by CPR Works Ltd must be paid before website hosting, domain name management, IT support services, email services or any other services connected to the Client's domain name or website can be transferred to a third party.
CPR Works Ltd cannot accept liability for losses caused by the unavailability, malfunction or interruption of this website hosting service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.
CPR Works Ltd reserves the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate the managed hosting service should the necessity arise.
Please note that by necessity, to preserve the integrity of our webservers, any attempt at sending unsolicited or bulk email (whether directly or indirectly) stemming from a webserver hosted on the CPR Works server network will result in that website account being suspended immediately and without notice.
Search Engine Promotion and Optimisation (SEO)
We cannot offer any guarantees regarding the position we will achieve for websites although we do have a proven track record of achieving very good search engine listings for our clients.
The process of optimising and promoting websites will bring in more traffic and user visits and our clients will usually see visits increase to their websites.
We cannot accept liability for any change in rankings, or drop offs in the position of your website due to changes in the algorithms (and other factors) of the major search engines or the factors that they use to rank websites.
Due to the "hand submission" work involved payment is generally required in advance of this work being undertaken and we are unable to offer a refund of any monies to clients in relation to this type of work.
Payment of Accounts
An initial payment of 50% is usually required from any new client before any work is carried out.
Any outstanding accounts for work carried out by CPR Works Ltd or its affiliates are required to be paid in full, no later than 30 days from the date of the invoice unless by prior arrangement.
Failure to make payment of these accounts as agreed may result in additional costs, such as interest being charged to cover administrative work involved in the recovery of these debts.
Once a deposit is paid and work completed you are obliged to pay the balance of payment in full. We will contact clients via letter, email and/or telephone to remind them of such payments if they are not received when due.
If accounts are not settled by the due dates, access to the related website may be denied and web pages removed, and in addition you may lose the right to transfer your domain name if CPR Works control the TAG or have administrative control of your domain name(s).
We reserve the right then to pass such non payment cases to the Small Claims Court to pursue payment, and non payment can result in County Court judgements (ccj's) being added to the Client's credit rating.
Following consistent non payment of an invoice a Solicitor or credit recovery company may be briefed to contact the Client in question, to seek payment through legal procedures, and if necessary a court summons.
Complaints Procedure
Informal procedure
We've not had to go through a complaints procedure of any kind in our entire company history (since we started in 1994) to date.
But anyone who experiences a problem with the web service provided by CPR Works Ltd should raise the matter directly using our online contact form to do so, giving sufficient information to locate the material (such as an url) and clearly outlining the grounds for complaint. If you wish to raise a complaint about abuse you have received (phishing scams, spam emails etc), please contact us again using our online contact form with as much detail about the abuse. We will investigate your complaint immediately.
CPR Works Ltd will approach you for the material in question with a view to resolving the matter to the satisfaction of the complainant. You may initiate this procedure through the email address [email protected].Please We will to respond to all points of contact within 3 business day and aim to resolve any issues you have within 5 business days.
Formal complaints procedure
The formal complaints procedure should only be used where the complainant feels that the nature of the complaint cannot be dealt with informally, or where a satisfactory conclusion has not been reached after following the informal procedure.
A formal complaint should be made in writing to CPR Works Ltd, who will acknowledge receipt and ensure that the matter is looked into as soon as possible.
An initial response to any complaint can be expected within seven days of its receipt; a full and considered response to the complaint should be completed within 30 days and any subsequent remedy implemented with the minimum of delay.
If you are not satisfied with the response that you have received from CPR Works Limited, you can escalate your complaint to our Directors or write to us at the address below. All escalated complaints should be made in writing and include the following information:
Your name and contact details and the registrar information if appropriate
The domain name(s) concerned (if appropriate) A clear description of your concern or complaint What steps you would like us to take to resolve the issue Please write "Complaint" clearly on the top of your letter or in the subject line of your email
When the Directors receive your complaint, it will be acknowledged within five working days. We will then fully investigate your complaint and aim to respond within 10 working days. If the situation requires a longer investigation, we will contact you within 10 working days to inform you of this and let you know when you can expect our response. Your complaint will also be kept on file to enable us to monitor the number and types of complaints we receive.
